Please read these Terms of Service carefully before using ReelGen. By registering, downloading, or using the software, you agree to these Terms.

1. Scope

1.1 These General Terms and Conditions (hereinafter 'Terms') apply to all contractual relationships between ReelGen UG (haftungsbeschränkt), Bella Dini, Munich, Germany (hereinafter 'ReelGen', 'we' or 'us') and the user (hereinafter 'you', 'user' or 'customer') regarding the use of the ReelGen software (macOS application), the associated website reelgen.app, and all related services. 1.2 By registering, downloading, installing or otherwise using the software or website, you agree to these Terms. If you do not agree, you may not use the software or website. 1.3 Deviating or supplementary terms of the user are not recognized unless ReelGen expressly agrees to their validity in writing. 1.4 These Terms apply in the version current at the time of registration or contract conclusion.

2. Minimum Age and Registration

2.1 Use of ReelGen is exclusively permitted for persons who have reached the age of 18. By registering, you confirm that you are at least 18 years old. 2.2 You are obligated to provide truthful and complete information during registration. Registration under a false name, with fictitious data, or under another person's name is prohibited. 2.3 You are responsible for the confidentiality of your login credentials. Any activity that takes place under your account will be attributed to you. 2.4 ReelGen reserves the right to reject registrations without stating reasons or to suspend existing accounts if a violation of these Terms exists or is reasonably suspected.

3. License and Usage Rights

3.1 ReelGen grants you a personal, non-exclusive, non-transferable, revocable license to use the software according to the chosen license plan (Amateur, Pro, Cinema). 3.2 The license permits installation and use on one (1) macOS device. Simultaneous operation on multiple devices requires separate licenses. 3.3 The following is expressly prohibited: (a) Copying, modifying, decompiling, reverse engineering, or disassembling the software; (b) Renting, lending, sublicensing, or otherwise making the software available to third parties; (c) Circumventing or removing security mechanisms, license checks, or technical protection measures; (d) Using the software or parts thereof as the basis for your own product. 3.4 Amateur Plan: Personal, non-commercial use, ★1–★2 quality tiers, basic features, watermark on exports. Pro Plan: All quality tiers (★1–★5), semi-commercial use (social media, portfolio, YouTube), no watermark, lip sync, extended features. Cinema Plan: Full feature set, commercial use including contract work, Cinema Ultra mode, priority support, extended export formats, commercial usage license.

4. System Requirements and Hardware Compatibility

4.1 ReelGen is a macOS application requiring a compatible Apple device (Mac with Apple Silicon recommended). Minimum and recommended system requirements are documented on our website. 4.2 ReelGen assumes no liability or warranty when: (a) The software is installed on a device that does not meet minimum requirements; (b) Performance, quality, or speed of video creation is impaired due to insufficient hardware (too little RAM, too old a processor, insufficient storage, missing GPU acceleration); (c) Compatibility issues with certain macOS versions, third-party software, or system configurations occur. 4.3 The quality of generated content (videos, images, audio) depends significantly on available hardware, chosen quality settings, and entered prompts. ReelGen does not guarantee any specific output quality. 4.4 When purchasing a license, the user is solely responsible for checking device compatibility before purchase. No right of return exists solely due to hardware incompatibility, provided system requirements were available for review before purchase.

5. AI-Generated Content and Disclaimer

5.1 ReelGen uses local AI models as well as optional cloud and third-party routes (including text-to-image, image-to-video, text-to-speech, dubbing, music, or other media services) to create media content. Depending on the selected route, results are produced on-device, through connected providers, or via ReelGen-managed infrastructure. 5.2 ReelGen assumes no liability for the content, accuracy, appropriateness, or legality of AI-generated outputs. AI-generated content may contain errors, distortions, inaccuracies, or unintentional similarities to real persons, trademarks, or copyrighted material. 5.3 The user is solely responsible for: (a) Reviewing and evaluating all AI-generated content before use or publication; (b) Compliance with all applicable laws and regulations when using generated content; (c) Obtaining all necessary rights and permissions, particularly when generated content may concern real persons, trademarks, or protected works; (d) The lawful and authorized use of connected third-party accounts, API keys, and cloud routes. 5.4 ReelGen is not responsible for decisions made based on AI-generated content.

6. Prohibited Use

6.1 Use of ReelGen for the following purposes is expressly prohibited: (a) Creation of content that violates applicable law, particularly criminal law; (b) Creation of child pornographic, youth-endangering, or sexually exploitative material; (c) Creation of content that glorifies violence, incites hatred, or promotes terrorism; (d) Creation of discriminatory content based on race, ethnicity, gender, religion, disability, sexual orientation, or other protected characteristics; (e) Creation of deepfakes or synthetic media designed to deceive, defame, blackmail, or discredit persons; (f) Identity theft or impersonation of real persons without their express consent; (g) Infringement of copyrights, trademarks, patents, or other intellectual property rights of third parties; (h) Spam, phishing, fraud, or other fraudulent activities; (i) Destabilization of democratic processes, creation of disinformation, or election manipulation; (j) Any use that is likely to damage the reputation of ReelGen. 6.2 Violations entitle ReelGen to immediate account suspension, license revocation, and deletion of all associated data — without right to refund. 6.3 ReelGen reserves the right to initiate criminal proceedings for serious violations and to cooperate with authorities.

7. User Content and Responsibility

7.1 You retain all rights to your content generated by ReelGen, subject to the limitations of your license plan (Amateur: private only; Pro: semi-commercial; Cinema: commercial). 7.2 You bear sole responsibility for all content you create, upload, publish, or otherwise distribute using ReelGen. This includes: (a) Responsibility for the legality and appropriateness of entered prompts; (b) Responsibility for the use and distribution of generated results; (c) Compliance with personality rights, data protection laws, and the right to one's own image. 7.3 ReelGen assumes no liability for third-party claims arising from the use, publication, or distribution of content created or uploaded by the user. 7.4 You indemnify and hold ReelGen harmless from all third-party claims arising from content you create, including reasonable attorney's fees.

8. Publication on Social Media and Third-Party Platforms

8.1 If you publish content created with ReelGen on social media platforms (e.g., YouTube, Instagram, TikTok, Facebook, X/Twitter) or other third-party platforms, you are solely responsible. 8.2 ReelGen assumes no liability for: (a) Violations of the terms of use of the respective platform; (b) Suspension, deletion, or sanctioning of your account on third-party platforms; (c) Reputational damage resulting from the publication of AI-generated content; (d) Claims by persons who feel their rights are violated by published content; (e) Copyright or trademark claims arising from publication. 8.3 You are obligated to label AI-generated content as such where legally required (particularly under the EU AI Act). 8.4 ReelGen's optional social publish feature merely provides a technical interface. Responsibility for published content lies exclusively with the user.

9. Community Gallery and User Submissions

9.1 The ReelGen Community Gallery allows users with a valid license to submit content. All submissions are reviewed by the ReelGen team before publication. 9.2 By submitting content to the Community Gallery, you grant ReelGen a non-exclusive, worldwide, royalty-free license to display this content on the website and in marketing materials. 9.3 ReelGen reserves the right to reject submitted content without stating reasons or to remove it retroactively. 9.4 Direct download of gallery content by users is not permitted. Export to the ReelGen app is exclusively reserved for users with a valid license. 9.5 Uploading content that violates §6 (Prohibited Use) of these Terms results in immediate account suspension.

10. Discrimination and Ethical Use

10.1 ReelGen condemns all forms of discrimination, racism, sexism, antisemitism, homo- or transphobia, ableism, and any degradation of persons or groups. 10.2 AI models may inherently contain biases. ReelGen strives to minimize such biases but cannot guarantee complete freedom from bias. 10.3 If you notice that generated content exhibits discriminatory or biased patterns, please report this to contact@reelgen.app. 10.4 ReelGen assumes no liability for discriminatory content created through deliberate prompt manipulation or exploitation of AI biases. Responsibility lies with the user.

11. Local and Optional Cloud Processing

11.1 ReelGen desktop workflows are local-first and can run entirely on the user's device. If the user explicitly enables connected cloud or hybrid routes inside the app, ReelGen-managed cloud routes, or connected BYO providers, prompts, reference files, generated media, and related metadata may be transmitted to ReelGen servers or the selected provider insofar as required for the requested service. 11.2 When using the website and account management, personal data is processed in accordance with our Privacy Policy. 11.3 For license activation and verification, an encrypted connection to the ReelGen server is established, transmitting only the license and device information required for that purpose. 11.4 Optional cloud or third-party provider usage is not required for local workflows by default and requires explicit activation, connection, or selection by the user. 11.5 Costs, limits, review states, and provider-specific restrictions for optional cloud services may depend on the selected plan or the external provider.

12. Payment Terms

12.1 Pro and Cinema plans are billed monthly or annually at the user's choice. All stated prices include applicable VAT. 12.2 The payment obligation arises upon subscription completion. The first billing occurs immediately after contract conclusion. 12.3 In case of payment default, ReelGen is entitled to suspend access to the software until outstanding amounts are settled. A payment default exceeding 14 days entitles ReelGen to terminate without notice. 12.4 Price changes are announced at least 30 days before taking effect via email. Existing subscriptions are adjusted only at the next billing period. 12.5 ReelGen accepts the payment methods indicated on the website. Processing is handled by the respective payment service provider. ReelGen does not store credit card or banking data.

13. Cancellation and Withdrawal

13.1 You may cancel your subscription at any time effective at the end of the current billing period. After cancellation, access remains until the end of the paid period. 13.2 For monthly billing, the subscription ends at month's end; for annual billing, at year's end. 13.3 Cancellation does not release you from the obligation to make outstanding payments. 13.4 Consumers have a 14-day right of withdrawal from contract conclusion under §355 BGB (German Civil Code). The right of withdrawal expires prematurely if the software was fully downloaded before the withdrawal period expired and the consumer consented. 13.5 ReelGen may terminate the contractual relationship without notice for serious violations of these Terms. In this case, no right to refund exists. 13.6 You may delete your account at any time. All personal data will be deleted according to our Privacy Policy. Generated content on your local device is not affected.

14. Refunds

14.1 Refunds are only granted within the statutory withdrawal period of 14 days, provided the right of withdrawal has not expired. 14.2 No right to refund exists for: (a) Dissatisfaction with generated results; (b) Hardware incompatibility when system requirements were available for review; (c) Usage problems attributable to incorrect prompts or unsuitable settings; (d) Account suspension due to violations of these Terms; (e) Expiration of a trial period. 14.3 Partial refunds for already commenced billing periods are excluded.

15. Warranty and Limitation of Liability

15.1 ReelGen is provided 'as is' and 'as available' without express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. 15.2 ReelGen does not guarantee: (a) Uninterrupted, error-free, or secure operation of the software; (b) That the software is free from viruses, malware, or other harmful components; (c) The accuracy, reliability, or quality of generated content; (d) The availability of specific features or models. 15.3 ReelGen's liability is — to the extent legally permissible — limited to cases of intent and gross negligence. Liability for slight negligence is excluded unless essential contractual obligations (cardinal obligations) are breached. 15.4 Liability is in any case limited in amount to the sum the user paid to ReelGen in the 12 months preceding the damage. 15.5 ReelGen is not liable for indirect damages, consequential damages, lost profits, data loss, or immaterial damages. 15.6 The foregoing limitations of liability do not apply to injury to life, body, or health, or to mandatory statutory liability provisions.

16. Intellectual Property

16.1 All rights to the ReelGen software, including source code, algorithms, AI models, design, logos, trademarks, and documentation, remain with ReelGen or its licensors. 16.2 The license does not grant ownership of the software, but merely a limited right of use. 16.3 Feedback, suggestions, and improvement ideas you communicate to ReelGen may be used by ReelGen without compensation or attribution.

17. Third-Party Services and Content

17.1 ReelGen may offer optional integrations with third-party services (e.g., cloud voice providers for voices, social media APIs for publishing). Use of these services is subject to the respective third party's terms. 17.2 ReelGen assumes no liability for the availability, functionality, or security of third-party services. 17.3 Costs arising from the use of third-party services are borne by the user.

18. Force Majeure

18.1 ReelGen is not liable for failure or delay in fulfilling obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, labor disputes, power outages, internet failures, government orders, or failures of suppliers and service providers.

19. Severability

19.1 Should any provision of these Terms be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a provision that most closely approximates the economic purpose of the invalid provision.

20. Amendments to Terms

20.1 ReelGen reserves the right to amend or supplement these Terms at any time. 20.2 Significant changes will be announced at least 30 days before taking effect via email to the address provided during registration. 20.3 If you do not agree to the amended Terms, you may cancel your subscription before the changes take effect. Continued use of the software after the changes take effect constitutes acceptance. 20.4 Last updated: March 2026.

21. Governing Law and Jurisdiction

21.1 These Terms and all related disputes are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). 21.2 Place of jurisdiction for all disputes arising from or in connection with these Terms is Munich, Germany, provided the user is a merchant, legal entity under public law, or special fund under public law. 21.3 For consumers, the mandatory consumer protection provisions of their country of residence apply. 21.4 The European Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr. ReelGen is neither willing nor obligated to participate in dispute resolution proceedings before a consumer arbitration board.
